Terms of Service

These Terms of Service (“Terms”) govern your use of Toolsy (toolsy.tools), operated by BARS AI LTD (“we”, “us”). By accessing or using the site, creating an account, uploading files, calling the API, or embedding a widget, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use Toolsy. If you use Toolsy on behalf of an organisation, you represent that you have authority to bind that organisation.

Toolsy provides online utilities and related features, including (as available from time to time):

• Browser tools for documents, PDF/Markdown, images, QR codes, text utilities, and SEO helpers.
• Server-assisted tools such as OCR / handwriting recognition, document conversion, image processing, and AI-assisted text or critique features.
• Account features: favourites, history metadata, Pro/Plus plans, OCR API keys, and embeddable widgets.
• Informational pages (blog, solutions, API docs, status).

Some tools run entirely in your browser; others send content to our servers and third-party processors. Product pages indicate when a server or AI provider is used. We may add, change, or discontinue features with reasonable notice where practical.

You are responsible for your login credentials, API keys, and activity under your account. Provide accurate information and keep your email reachable. You must be at least 16 (or the age of digital consent in your country, if higher).

Google sign-in is optional; Google’s terms and privacy notice also apply to that authentication flow. We may require email verification or additional checks if we detect abuse.

You agree to:

• Use Toolsy only in lawful ways and for its intended purpose.
• Not attack, probe, scrape excessively, or overload our systems without written permission.
• Not bypass rate limits, paywalls, quotas, or security controls.
• Not share malware or attempt unauthorised access to accounts or infrastructure.
• Not misrepresent your identity to obtain free or paid access unfairly.
• Ensure you have all rights and consents needed to upload or process content (including third-party personal data).
• Review outputs yourself before relying on them for important decisions.

You must not upload, generate, or distribute through Toolsy material that:

• Is illegal under applicable law, or infringes intellectual property, privacy, or confidentiality rights.
• Contains malware or is designed for phishing or fraud.
• Involves child sexual abuse material or other illegal sexual content.
• Promotes terrorism, violent extremism, or other criminal activity.
• You are not authorised to process (for example confidential employer documents or special-category data without a lawful basis).

We may remove content, suspend access, and report to authorities when required or appropriate.

You understand and accept that:

• Automated outputs (including OCR, tables extracted from photos, AI text, critiques, and SEO research) may contain errors, omissions, or hallucinations — especially for handwriting, medical notes, or poor scans.
• Toolsy does not provide medical, legal, accounting, tax, or other professional advice. Outputs are not a diagnosis, certified translation, notarised document, or official record.
• Before using results in critical contexts (health, finance, law, safety, compliance), you must verify them independently.
• Running OCR/AI features may transmit content to OpenRouter and underlying model providers, which may process data outside the UK — see the Privacy Policy.
• We do not use your uploads to train our own models. Third-party model providers’ retention practices are governed by their terms; we configure processing for the job you request.

Free use is subject to daily and/or monthly limits on certain tool categories (for example OCR, document conversion, image processing, AI). Limits may be applied by IP address, device signals, and/or account. Pro and Plus remove or raise many limits as described on the pricing page. We may adjust limits, introduce protective measures, or throttle abusive traffic.

Paid plans and one-time purchases are billed through Stripe. Current list prices (USD, may change for future renewals) include Pro at $9/mo or $79/yr, and Plus at $19/mo or $169/yr. Extra file packs, SEO credit packs, critique purchases, and OCR API plans may also be offered — see Pricing and your account.

Subscriptions renew until cancelled in the Stripe customer portal or as otherwise offered at checkout. Taxes may apply based on your location and Stripe Tax settings. Price changes for renewals will be shown on the site and/or in Stripe; material changes may be notified by email where appropriate.

Except where UK consumer law or Stripe’s refund rules require otherwise, fees are non-refundable once a billing period or one-time purchase has started, including unused quota. If a charge fails, we may suspend paid features until payment is restored.

If you create API keys or embed widgets, you must keep keys secret, use HTTPS on pages that host embeds, and ensure your end users have a lawful basis to upload content. You are responsible for how you present Toolsy on your site and for complying with privacy laws toward your visitors.

API and widget usage shares the quotas tied to your account/plan. Reverse-engineering the service for competing products, redistributing keys, or reselling access without our written agreement is prohibited unless a separate commercial arrangement says otherwise.

Technical details are described in the API docs and widget pages; those pages do not override these Terms.

The Toolsy name, branding, site software, copy, and design belong to us or our licensors. You may not copy the service as a whole or a substantial part without permission.

You retain rights to content you submit. You grant us a limited, worldwide, royalty-free licence to host, transmit, and process that content solely as needed to operate the tool you use (including passing it to processors listed in the Privacy Policy). Outputs generated for you are available for your use, subject to third-party rights in the source material and model-provider terms.

To the fullest extent permitted by law, Toolsy is provided “as is” and “as available”. We aim for accuracy and uptime but do not guarantee uninterrupted, error-free, or fully compatible service for every file or device. Always verify important outputs (passwords, encoded data, QR codes, financial figures, medical text, etc.).

Nothing in these Terms excludes rights that cannot be excluded under UK consumer law if you are a consumer.

To the fullest extent permitted by UK law, we are not liable for indirect, incidental, special, consequential, or punitive loss, or for loss of data, profits, revenue, or business arising from use of (or inability to use) the service.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.

Subject to the above, our aggregate liability arising out of or relating to paid features is limited to the fees you paid us for the service in the 12 months before the claim. For free use, our aggregate liability is limited to £50.

We may suspend or terminate access if you breach these Terms, create security risk, or if required by law. You may stop using Toolsy at any time and request account deletion via hello@toolsy.tools (we may verify ownership). Cancellation of a subscription stops future renewals; it does not automatically refund the current period except where required by law.

We may update these Terms by posting a new version on this page and updating the date. Continued use after changes take effect means you accept the new Terms for future use, except where law requires a different process (for example explicit acceptance for material changes to paid contracts).

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except where consumer protection law gives you mandatory rights to bring proceedings in your country of residence.
